Terms of Service — CatalogTracker

These Terms of Service (“Terms”) are a legal agreement between you and ACME Idea CO (“ACME”, “we”, “us”), 2967 Dundas St. W. #1751, Toronto, ON M6P 1Z2, Canada, governing your use of the CatalogTracker iOS app and related services (the “Service”). By downloading, signing in to, or using CatalogTracker, you agree to these Terms. If you don’t agree, don’t use the Service.

CatalogTracker helps independent artists, producers, and their teams organize a music catalog, track royalty splits, and generate and manage agreement documents.

1. Eligibility & your account

You must be at least 18 years old and able to enter a binding contract to use CatalogTracker. The Service is used to create and manage legally significant documents, so it is for adults only. You sign in with Sign in with Apple or by email (a one-time code, or a password for accounts we provision); you are responsible for keeping access to your Apple ID, your email account and your device secure, and for activity under your account. We don’t verify age in the app; by using the Service you confirm you meet this requirement. Provide accurate information and keep it current.

2. Licence to use the app

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use CatalogTracker on Apple devices you own or control, for your own catalog-management purposes (including on behalf of an artist you legitimately represent). You may not sell, sublicense, rent, or redistribute the app, or reverse-engineer, decompile, or attempt to derive its source code except to the extent that restriction is prohibited by law.

3. Not legal advice

CatalogTracker is an organizational and document-preparation tool. It is not a law firm and does not provide legal advice. Split sheets, agreements, and other documents the app generates are templates offered for your convenience; they are not reviewed for your situation and are not guaranteed to be accurate, complete, enforceable, or suitable. You are solely responsible for the contents of any document you create, share, sign, or rely on, and you should have qualified legal counsel review agreements before you execute them. This mirrors the notice shown on generated documents in the app.

4. What “Verified” means (and doesn’t)

Artist verification confirms that someone demonstrated control of an established public presence through our process (and, in the future, potentially through a rights-organization integration). Beta participants may send split sheets without verification; their documents say so and never describe them as verified. It is not a guarantee of a person’s legal identity, authority, or ownership of any rights, and it does not validate any split or agreement. Do not rely on a verification badge as proof of ownership or authority. We may grant, decline, or revoke verification at our discretion, and may change how verification works.

5. Responding to an agreement electronically

A party can confirm or decline a split sheet in the app, or on our website from the link in their invitation. In the app, the response is a receipt signed by a key held in the device’s Secure Enclave. On the website, the party reviews the sheet and its document, agrees to respond electronically, types their full name, and enters a one-time code emailed to the address the invitation was sent to; we record the typed name, the code check, the time, the IP address and browser, the consent wording and the SHA-256 fingerprint of the document shown. A website response made before October 27, 2026 was recorded on the invitation link alone, and is labelled that way. When every party has agreed, a certificate of completion stating how and when each party agreed is added to the final copy sent to every party. By responding you agree that your electronic response, recorded this way, is your response to that agreement. Before responding you may ask for a paper copy, or withdraw your consent to respond electronically, by writing to support@acme-co.ca. None of this verifies a person’s legal identity (see Section 4), and it does not make a document legally sufficient for your purpose (see Section 3).

6. Your content and data

You own the catalog data and content you create or import (“Your Content”). We do not claim ownership of it. Your catalog is stored on your device and, if you enable backup, in your own iCloud account; we do not store your catalog on our servers. When you use collaboration features, you grant us a limited licence to process and transmit only the specific data needed to deliver that feature (for example, a shared-split snapshot sent to a collaborator for confirmation). You are responsible for Your Content, for having the rights to use it, and for maintaining your own backups. Our handling of personal data is described in our Privacy Policy.

7. Acceptable use

You agree not to: use the Service unlawfully or to facilitate fraud; impersonate any person or misrepresent your authority to act for an artist; upload or share someone else’s personal or confidential information without the right to do so; infringe anyone’s intellectual property or other rights; interfere with, overload, or attempt to gain unauthorized access to the Service or its backend; or use the Service to create documents you intend to use deceptively. You are responsible for whom you invite as a collaborator and for the accuracy of the splits and information you enter and share.

8. Subscriptions and purchases

CatalogTracker offers a free tier and may offer a paid “Pro” tier with additional capacity (such as unlimited split-sheet sharing). On the free tier you may send up to 5 split sheets per calendar month; every account is limited to 20 sends per hour. A split sheet you send expires 30 days after sending if the collaborator hasn’t responded. Any purchase or subscription is processed by Apple through In-App Purchase; billing, renewals, price changes, and cancellations are handled through your Apple ID and the App Store, subject to Apple’s Media Services Terms. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period; manage or cancel in your App Store account settings. Except where required by law or Apple’s policies, payments are non-refundable.

9. Third-party services and data

The Service relies on third parties, including Apple (Sign in with Apple, iCloud, In-App Purchase), Supabase (backend), and PostHog (analytics), Resend (email delivery), and it enriches imports using external music-data sources (the iTunes Search API, Apple Music/MusicKit, MusicBrainz and Credits.fm). Your use of those features may be subject to the third parties’ own terms, and we don’t control or guarantee the accuracy of third-party data. Imported metadata may be incomplete or wrong; verify anything you rely on.

10. Our intellectual property

The Service, including the CatalogTracker name, software, design, and logos, is owned by ACME and protected by law. These Terms grant you no rights in our intellectual property beyond the limited licence in Section 2.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of imported metadata, verification outcomes, generated documents, or availability of the Service. Some jurisdictions don’t allow certain warranty exclusions, so parts of this section may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, ACME will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the claim, or (b) CAD $100. Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold ACME harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your infringement of any third party’s rights.

14. Termination

You may stop using the Service at any time and delete your account and associated data from Settings → Delete Account. Deleting your account does not cancel, revoke or change any agreement you signed through the Service: each fully confirmed agreement stays in force between its parties and is kept as a signed record with your name, share and confirmation on it, as the Privacy Policy describes. You can save your copies before deleting, and we email you a link to each. We may suspend or terminate your access if you materially breach these Terms or misuse the Service. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnification, governing law) will survive.

15. Changes to these Terms

We may update these Terms. If a change is material, we’ll update the date above. Your continued use after an update means you accept the revised Terms.

16. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You and ACME agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute, except that either party may seek injunctive relief where appropriate, and nothing here removes any mandatory consumer-protection right available to you where you live (including in the United States and Mexico).

17. Apple App Store — additional terms

Because you obtain CatalogTracker through Apple’s App Store, the following also apply and, where they conflict with the rest of these Terms for App Store matters, control:

  • These Terms are between you and ACME only, not with Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide maintenance or support for the app. Support requests go to support@acme-co.ca.
  • To the extent permitted by law, Apple has no warranty obligation for the app; if the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any), and Apple has no other warranty obligation.
  • Apple is not responsible for addressing any claims relating to the app (product liability, legal or regulatory non-conformance, consumer protection) or any third-party intellectual-property infringement claim; ACME is responsible as set out in these Terms.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated “terrorist-supporting,” and are not on any U.S. Government prohibited-parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
